**Independent Contractor Agreement**
This Independent Contractor Agreement ("Agreement") is made and entered into as of 10/11 by and between:

**1. Services to Be Performed**
Contractor agrees to provide professional organizing services ("Services") as described below:
**Scope of Work**
The Services will include:
- Decluttering in the homes of clients, including but not limited to kitchens, garages, playrooms, closets, and other areas as needed.
- Implementing new organizational products and labeling items.
- Climbing ladders and lifting up to 50 lbs, as required to complete the tasks.
- Working collaboratively with a lead organizer while in the client's home.
The Contractor shall provide these Services on an as-needed basis, as agreed upon by both parties.
**2. Compensation**
a. The Company agrees to pay the Contractor $30 per hour spent on the job for the Services rendered.
b. Payment will be made within 5 days of receipt of an invoice from the Contractor.
c. The Contractor will submit invoices to the Company on Fridays each week, detailing the hours worked and the Services provided.
d. The Contractor will be paid their hourly rate for time spent traveling to the client over 30 minutes each way. For example, if the contractor spends 45 minutes driving to the client’s home each direction, they would be paid an extra 30 minutes for that day.
e. As available, the Contractor may take donations, pick up product or return product for the company. The Contractor can bill time spent on these tasks at the same rate as their organizing services.
**3. Equipment and Materials**
a. The Contractor will provide their own box cutter, permanent markers, and sticky notes necessary for performing the Services.
b. If needed, the Company may lend additional supplies to the Contractor upon request.
c. The Company will not be responsible for any costs associated with the Contractor’s equipment or materials, other than those specifically outlined in this Agreement.
**4. Independent Contractor Status**
a. The Contractor acknowledges that they are an independent contractor and not an employee of the Company.
b. The Contractor will have no authority to act on behalf of or bind the Company in any manner.
c. The Company will not be responsible for withholding any income taxes, social security taxes, or other taxes or deductions from the Contractor’s compensation. The Contractor is responsible for all such taxes and deductions.
d. The Contractor is free to perform similar services for other businesses or clients, provided that such work does not interfere with their ability to perform satisfactory work for the Company.
**5. Availability and Work Guarantee**
a. The Company does not guarantee a minimum amount of work or specific hours of work for the Contractor.
b. The Contractor will set their own availability and will be contacted by the Company as needed for the performance of Services.
**6. Professional Conduct and Confidentiality**
a. The Contractor must maintain a professional demeanor while performing the Services and interacting with clients and other Company representatives.
b. As much as possible, the Contractor should aim to arrive at the client’s home 5 minutes before the session start time. This allows time for unloading and communication with the other organizers.
c. The Contractor should maintain a professional appearance. Please wear clothing that is easy to move, climb, crawl, etc. Leggings and a t-shirt are ideal. A solid color or simple pattern is preferred. Please no holes, tears or other company logos on your outfit.
b. The Contractor agrees to maintain the confidentiality of any confidential information received during the performance of the Services.
c. Confidential information includes, but is not limited to, business practices, client lists, and proprietary information.
**7. Non-Solicitation**
The Contractor agrees not to solicit, directly or indirectly, any clients of the Company for their own business or use, or for the benefit of any other business, during the term of this Agreement and for a period of [12] months following its termination.
**8. Liability and Insurance**
a. The Contractor agrees to carry adequate insurance coverage for any liability arising from the performance of the Services.
b. The Contractor will indemnify and hold harmless the Company from any claims, damages, or liabilities resulting from the Contractor’s actions or omissions.
c. The Company will not be responsible for any illnesses or injuries sustained by the Contractor while performing the Services.
**9. Term and Termination**
a. This Agreement will commence on 10/11 and will continue until terminated by either party.
b. Either party may terminate this Agreement with 30 days' written notice to the other party.
c. Upon termination, the Company will pay for all Services rendered up to the termination date.
**10. Governing Law**
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
**11. Entire Agreement**
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
**12. Amendments**
Any amendment or modification of this Agreement must be in writing and signed by both parties.
**13. Notices**
Any notices required or permitted to be given under this Agreement must be in writing and shall be deemed delivered when sent via certified mail, return receipt requested, to the addresses listed above or any other address provided by either party in writing.
